1. Services and Payment
The Photographer will provide professional real estate photography services as agreed upon with the Client. The scope of services and pricing will be outlined in the quote or contract provided to the Client. Payment shall be made in accordance with the terms specified in the quote or contract. Failure to make timely payments may result in additional fees or suspension of services.
2. Cancellations and Rescheduling
Client understands that cancellations or rescheduling of photography appointments should be communicated to Photographer at least 24 hours in advance. Failure to do so may result in a cancellation fee. In the event of unforeseen circumstances such as inclement weather or property unavailability, Photographer and Client will work together to reschedule the photography session at the earliest mutually convenient time.
3. Licensing and Usage
Photographer retains the copyright to all images created during the photography session. However, Client will be granted a non-exclusive license to use the images for the purpose of marketing and promoting the property. Client agrees not to sell, transfer, or otherwise distribute the images to any third party without the Photographer's consent.
4. Image Delivery and Retention
Photographer will provide the edited images to the Client within the agreed-upon timeline, typically via digital download or other mutually agreed-upon method. Photographer may retain the images for a reasonable period for backup and archival purposes. Client is responsible for storing and backing up the images upon receipt.
5. Liability and Indemnification
While Photographer will exercise due care and skill in capturing and editing images, Client acknowledges that photographic results may vary due to factors beyond the Photographer's control such as property condition, lighting, and weather. Client agrees to indemnify and hold Photographer harmless against any claims, damages, or liabilities arising from the use of the images provided.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the photography services.
7. Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of Arizona. Any dispute arising from this Agreement shall be resolved through good faith negotiation between the parties. By engaging the services of the Photographer, Client acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions. This Agreement represents the entire understanding between the parties and supersedes any prior agreements or understandings, whether written or oral.
